01. Agreement & Definitions
By creating an account, clicking to accept these Terms, or accessing or using our website at https://halios.ai, our web application at https://app.halios.ai, our APIs, or related hosted services (collectively, the "Service"), you agree to be bound by these Terms.
Our Privacy Policy describes how we collect, use, and handle personal information in connection with the Service.
For purposes of these Terms:
- "Authorized User" means an employee, contractor, or other person authorized by Customer to access the Service through Customer's account.
- "Customer" means the individual or organization using the Service.
- "Customer Data" means traces, spans, prompts, agent responses, messages, tool definitions, tool outputs, scenario configurations, evaluation data, and other content submitted to or ingested by the Service by or on behalf of Customer.
- "Documentation" means developer documentation and other usage materials made available by Anomalytica.
- "Order" means any order form or other written agreement between Customer and Anomalytica governing a paid or enterprise subscription.
- "Usage Data" means operational, technical, and statistical information generated through use of the Service, including feature usage, performance metrics, system logs, and aggregate usage measurements.
02. Eligibility & Accounts
The Service is intended for business and professional use and is not intended for personal, family, or household purposes.
You must be at least 18 years old to use the Service. If you use the Service on behalf of a company or other legal entity, you represent that you have authority to bind that entity to these Terms.
Customer is responsible for maintaining the confidentiality and security of login credentials, API keys, access tokens, and other authentication information associated with its account.
Customer is responsible for activity occurring through its account and should notify Anomalytica promptly at hello@halios.ai if it becomes aware of unauthorized access or misuse.
03. Service Access & Ownership
Subject to these Terms and payment of any applicable fees, Anomalytica grants Customer a limited, non-exclusive, non-transferable right to access and use the hosted Service and Documentation for Customer's internal business purposes.
Except for Customer Data and third-party or open-source components, Anomalytica and its licensors retain all right, title, and interest in and to the Service, Documentation, software, technology, trademarks, and related intellectual property.
Publicity. Customer permits Anomalytica to use Customer's name and logo solely to identify Customer as a user of the Service on Halios and Anomalytica websites and in sales and marketing materials. Anomalytica will not imply Customer's endorsement of the Service or use Customer testimonials, quotes, or case studies without Customer's separate approval. Customer may withdraw this permission at any time by contacting hello@halios.ai, after which Anomalytica will discontinue future use within a reasonable period.
No rights are granted except as expressly stated in these Terms.
04. Customer Data
Ownership. As between Customer and Anomalytica, Customer retains all right, title, and interest in and to Customer Data.
Customer Responsibility. Customer represents and warrants that it has the rights, permissions, notices, consents, and lawful bases necessary to submit Customer Data to the Service and to permit Anomalytica to process it as contemplated by these Terms.
Customer is responsible for determining what telemetry and other information it sends to Halios and for applying appropriate filtering, redaction, or masking where needed.
Processing License. Customer grants Anomalytica a worldwide, non-exclusive, royalty-free license to host, copy, transmit, process, display, and otherwise use Customer Data only as reasonably necessary to provide, operate, secure, maintain, and support the Service.
Customer-Defined Evaluations. Customer is responsible for the selection, configuration, and suitability of checks, scenarios, evaluators, thresholds, assertions, and other evaluation criteria that Customer provides or approves for use with the Service.
Model Training. Anomalytica does not use Customer Data to train generalized public foundation models and does not sell Customer Data.
05. Usage Data
Anomalytica may collect and use Usage Data to operate, secure, analyze, support, maintain, and improve the Service.
Anomalytica may also create and use aggregated or de-identified information that does not identify Customer or individuals and does not disclose Customer Data.
06. Third-Party Services & Model Providers
The Service may rely on third-party infrastructure, analytics, payment, model, and other service providers.
Certain evaluation features may process relevant Customer Data using third-party model providers, including through OpenRouter. Data handling, retention, availability, and other terms may vary depending on the selected provider, model, and configuration.
Where supported, Customer may provide its own credentials for third-party model providers. In those cases, use of those providers is also subject to Customer's agreements, policies, billing arrangements, and other terms with the applicable provider.
Anomalytica does not control and is not responsible for the availability, performance, terms, data practices, changes, or outputs of third-party services or model providers.
07. Open-Source Components
Certain developer tools and components made available by Anomalytica, including the Halios CLI and skills, are distributed under separate open-source licenses.
Your use, modification, and distribution of those open-source components are governed solely by the applicable open-source license included with the applicable software or repository, including any warranty disclaimers and limitations of liability contained in that license.
These Terms govern the hosted Halios Service and do not modify or supersede the terms of any applicable open-source license.
Use of an open-source Halios component to access or interact with the hosted Service remains subject to these Terms with respect to that hosted Service.
08. Fees & Billing
Fees and Usage. Customer agrees to pay the fees and usage charges applicable to its selected plan, as presented when Customer subscribes, incurs paid usage, or agrees to an applicable Order.
Payment Authorization. Customer authorizes Anomalytica and its payment processor to charge the payment method associated with Customer's account for applicable subscription fees, metered usage, and other agreed charges.
Taxes. Fees are exclusive of applicable sales, use, value-added, withholding, or similar taxes unless otherwise stated. Customer is responsible for applicable taxes other than taxes based on Anomalytica's net income.
Pricing Changes. Anomalytica may change fees, usage rates, plan limits, or included allowances from time to time. Changes will apply prospectively, subject to applicable law and any applicable Order.
Non-Payment. If payment is overdue or unsuccessful, Anomalytica may suspend or restrict access to paid features until outstanding amounts are resolved.
Except as required by applicable law or expressly stated in an applicable Order, fees are non-refundable.
09. Acceptable Use
Customer will not, and will not permit others to:
- reverse engineer, decompile, or attempt to derive source code from proprietary portions of the hosted Service, except where such restrictions are prohibited by law;
- circumvent, disable, interfere with, or attempt to bypass security controls, access controls, rate limits, or usage metering;
- introduce malware, malicious code, harmful payloads, or other material designed to disrupt or compromise the Service;
- use the Service in violation of applicable law, regulation, sanctions, or export-control requirements;
- use the Service in a manner that infringes or misappropriates the intellectual property, privacy, publicity, or other rights of another person;
- access the Service through unauthorized automated scraping, extraction, or similar mechanisms; or
- attempt to gain unauthorized access to the Service, another customer's account, or systems connected to the Service.
10. Service Changes
Anomalytica may modify, add, remove, or discontinue features of the Service from time to time.
Preview, beta, experimental, early-access, or similar features may be changed, limited, or discontinued at any time and may be subject to additional terms or limitations.
Anomalytica does not guarantee that any particular feature, integration, model, provider, API, or functionality will remain available indefinitely.
11. Customer Review & Control
Halios provides observability, testing, evaluation, scoring, diagnostic information, and recommendations concerning Customer's software and AI systems.
The Service does not independently deploy code, modify Customer's development or production systems, or make operational or deployment decisions on Customer's behalf.
Customer remains responsible for reviewing and validating evaluation results, scores, recommendations, generated outputs, proposed changes, and other information provided through the Service before relying on or acting upon them.
Any changes to Customer's code, configuration, software agents, infrastructure, or production environment are made or authorized by Customer or by tools, coding agents, automation, or other systems controlled or authorized by Customer.
Customer is responsible for supervising such tools and systems and for determining whether any proposed or generated changes are appropriate before they are applied or deployed.
12. Suspension & Termination
Termination by Customer. Customer may stop using the Service and request termination of its account by contacting hello@halios.ai or through account controls where available.
Suspension or Termination by Anomalytica. Anomalytica may suspend, restrict, or terminate access to the Service if Customer materially breaches these Terms, fails to pay applicable fees, poses a security or operational risk, uses the Service unlawfully, or if continued provision of the Service would expose Anomalytica or others to material legal or security risk.
Anomalytica may also discontinue the Service or terminate free, preview, or beta access.
Effect of Termination. Upon termination, Customer's right to use the hosted Service ends. Customer Data will be handled in accordance with the applicable retention settings and our Privacy Policy.
Provisions that by their nature should survive termination will survive, including provisions relating to ownership, payment obligations, disclaimers, limitations of liability, indemnification, and governing law.
13. Disclaimers
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE."
ANOMALYTICA DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
ANOMALYTICA DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, COMPLETELY SECURE, OR FREE FROM LOSS OR CORRUPTION OF DATA.
ANOMALYTICA DOES NOT WARRANT THAT EVALUATION RESULTS, SCORES, MODEL OUTPUTS, SIMULATIONS, CHECKS, DIAGNOSTICS, RECOMMENDATIONS, OR OTHER RESULTS GENERATED THROUGH THE SERVICE WILL BE COMPLETE, ACCURATE, CORRECT, OR SUITABLE FOR ANY PARTICULAR PURPOSE.
HALIOS PROVIDES OBSERVABILITY, TESTING, EVALUATION, AND DIAGNOSTIC TOOLS. RESULTS OR RECOMMENDATIONS FROM THE SERVICE DO NOT CONSTITUTE A CERTIFICATION OR GUARANTEE OF THE SAFETY, SECURITY, COMPLIANCE, RELIABILITY, CORRECTNESS, OR FITNESS OF ANY SOFTWARE, MODEL, AGENT, OR AI SYSTEM.
CUSTOMER REMAINS RESPONSIBLE FOR REVIEWING, VALIDATING, AND DETERMINING WHETHER TO RELY ON EVALUATION RESULTS, SCORES, RECOMMENDATIONS, GENERATED OUTPUTS, OR PROPOSED CHANGES.
CUSTOMER IS RESPONSIBLE FOR ITS SOFTWARE, AGENTS, SYSTEMS, DEPLOYMENT DECISIONS, AND PRODUCTION USE, INCLUDING CHANGES MADE BY CODING AGENTS, AUTOMATION, OR OTHER TOOLS OPERATED OR AUTHORIZED BY CUSTOMER.
CUSTOMER SHOULD NOT RELY ON THE SERVICE AS THE SOLE BASIS FOR DECISIONS WHERE AN INCORRECT EVALUATION, SCORE, RECOMMENDATION, OR OUTPUT COULD REASONABLY RESULT IN DEATH, PERSONAL INJURY, OR SIGNIFICANT PHYSICAL OR ENVIRONMENTAL DAMAGE.
14. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW:
ANOMALYTICA, INC., ITS AFFILIATES, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, BUSINESS, GOODWILL, DATA, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS, REGARDLESS OF THE THEORY OF LIABILITY.
ANOMALYTICA'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF:
- $100 USD; or
- the total fees paid or payable by Customer to Anomalytica for the Service during the three (3) months immediately preceding the event giving rise to the claim.
THE LIMITATIONS IN THIS SECTION APPLY TO THE FULLEST EXTENT PERMITTED BY LAW, EVEN IF A REMEDY FAILS OF ITS ESSENTIAL PURPOSE.
15. Indemnification
Customer agrees to defend, indemnify, and hold harmless Anomalytica, Inc., its affiliates, directors, officers, employees, and agents from and against third-party claims, liabilities, damages, judgments, losses, and reasonable costs and expenses, including reasonable attorneys' fees, arising out of or relating to:
- Customer Data, including claims that Customer Data infringes third-party rights or was collected, submitted, or processed unlawfully;
- Customer's software, AI agents, deployments, or production systems in connection with Customer's use of the Service, including Customer's use of or reliance on evaluation results, recommendations, generated outputs, or proposed changes provided through the Service;
- Customer's violation of applicable law;
- Customer's misuse or unlawful use of the Service; or
- Customer's material violation of these Terms.
16. Governing Law & Venue
These Terms and any dispute arising out of or relating to them are governed by the laws of the State of California, without regard to conflict-of-law principles.
Any legal action or proceeding arising out of or relating to these Terms shall be brought exclusively in the state or federal courts located in San Francisco, California, and each party consents to the jurisdiction and venue of those courts.
17. General
These Terms, together with any applicable Order, constitute the entire agreement between Customer and Anomalytica regarding the Service.
If an applicable Order expressly conflicts with these Terms, the Order controls with respect to that Customer.
Customer may not assign or transfer these Terms without Anomalytica's prior written consent. Anomalytica may assign these Terms in connection with a merger, acquisition, corporate reorganization, financing, or sale of all or substantially all of its business or assets.
If any provision of these Terms is held invalid or unenforceable, the remaining provisions will remain in effect.
Anomalytica's failure to enforce any provision of these Terms is not a waiver of its right to do so later.
Anomalytica may update these Terms from time to time by posting revised Terms on the Service and updating the "Last Updated" date. Continued use of the Service after revised Terms become effective constitutes acceptance of the revised Terms to the extent permitted by applicable law.
